Exit Positioning: The Difference Between Selling a Practice and Maximising Its Value

Most dental practice owners know they will sell their practice one day. What many do not realise is that the value they ultimately achieve is often determined years before the practice ever reaches the market. While the decision to sell may happen in a moment, perhaps because retirement is approaching, a new opportunity presents itself, or personal circumstances change, the strength of that exit is shaped by the decisions made throughout the life of the business.

This is where exit positioning becomes so important. Rather than focusing solely on preparing a practice for sale, exit positioning is about ensuring your business is continually moving in the right direction. It means understanding what makes a practice attractive to buyers, recognising where value can be improved, and addressing potential risks long before they become barriers to a successful sale. Whether you plan to exit in two years or ten, the earlier you begin thinking about your future, the more options you create for yourself.

One of the biggest misconceptions among practice owners is that planning should begin once the decision to sell has been made. In reality, by that stage there is often very little time to influence the factors that have the greatest impact on value. Buyers will naturally review your financial performance, but they will also examine the quality of your patient base, the stability of your income, the strength of your clinical team, the condition of your premises, your compliance, your systems, and the opportunities for future growth. Many of these areas cannot be transformed in a matter of months. They require planning, investment and consistency over several years.

Financial performance will always be an important part of the conversation, but practice value is about far more than profit alone. Buyers are looking for businesses that represent a secure investment and that can continue performing well after the current owner has stepped away. A practice with recurring income, strong patient retention, documented systems, reliable management information and a capable team is often viewed as a lower risk proposition than one delivering similar profits but relying heavily on the owner. Every additional risk identified during the sales process has the potential to affect both the purchase price and the ease with which a transaction progresses.

Exit positioning is also about creating flexibility. Circumstances can change quickly, and opportunities do not always arrive according to plan. An unexpected approach from a buyer, changes in personal priorities, health concerns or a desire to reduce clinical commitments can all accelerate the need to consider an exit. Owners who have already invested time in strengthening their business are able to respond with confidence because they know their practice is ready. Instead of reacting under pressure, they have the freedom to make decisions from a position of strength.

Many owners assume that increasing the value of their practice requires major investment or significant structural change. While large improvements can certainly make a difference, some of the most valuable enhancements are often the simplest. Improving financial reporting, strengthening key performance indicators, documenting processes, reducing reliance on key individuals, reviewing contracts, maintaining excellent compliance standards and developing future leaders within the practice can all contribute to making the business more attractive to prospective buyers. These improvements also make the practice easier to manage and often improve profitability long before a sale is ever considered.

A useful exercise is to look at your own practice through the eyes of a potential purchaser. If you were investing in your business today, what questions would you ask? Would you be confident in the financial information available? Would the systems allow someone else to take over smoothly? Is the practice overly dependent on one individual? Can you clearly demonstrate opportunities for future growth? Taking an objective view often reveals simple areas for improvement that can have a meaningful impact over time.

Perhaps the greatest benefit of exit positioning is that it delivers value even if you have no immediate intention of selling. A business with stronger systems, clearer reporting, a more engaged team and healthier financial performance is not only more valuable to a future buyer but also more enjoyable to own. The work involved in preparing for an eventual exit often creates a better business today, reducing stress for the owner while improving resilience and long-term profitability.

At Frank Taylor & Associates, we believe the best exits are never left to chance. They are built over time through careful planning, informed decision making and a clear understanding of what drives value in today’s market. By focusing on exit positioning well before a sale is on the horizon, practice owners place themselves in the strongest possible position to achieve the outcome they deserve.

The question is not whether you will sell your practice one day. The more important question is whether you are taking the steps today that will allow you to maximise its value when that day arrives.
